TMF Fund Management Company (Ireland) Limited is regulated by the Central Bank of Ireland and manages 15 umbrella funds with 71 sub-funds. It is a fast-growing third-party fund manager, primarily focused on alternative strategies such as real estate and private equity, alongside some UCITS, supported by an in-house portfolio management team.
We are seeking a Designated Person (PCF-39E) for Distribution, a CBI-regulated role.
This dual role suits a legal or compliance professional with strong attention to detail, regulatory interpretation and drafting skills, and experience reviewing legal documents. The role involves client interaction, independent work within a team, and supporting operational compliance. Most funds are closed-ended and not actively marketed, though growth in distribution activities is expected.
The primary focus of the role will be:
- Oversight of Distribution where delegated (delegates)
- Performance of Distribution where retained
- Quarterly reports to the board
- Attendance and Presentation to Board of Directors (Draft Distribution Memo to Board of Directors (new fund/ sub-fund launch/ revised distribution strategy – templates available for use)
- Record keeping distribution agreements/ distribution channels
- Ensuring compliance with CBI regulatory procedures
- Keep up-to-date on regulatory changes
- P&P review
- Dissemination of Pre-marketing material/ Marketing Material
- Maintenance of Records
Funds Operational Compliance Responsibilities:
- Draft and maintaining adequate policies & procedures, guidance and checklists to ensure compliance with TMF’s legal & regulatory obligations
- Assisting/ delivering an annual compliance business plan to the Board/ or Senior Leadership Team as required
- Developing, maintaining and actioning a compliance monitoring programme for TMF that takes into consideration all areas of fund management activities Developing and maintaining a robust effective compliance framework such that TMF operates all fund management activity in a CBI regulated compliant manner and in accordance with applicable policies and procedures
- Conducting and overseeing internal reviews and periodic testing to ensure that compliance procedures are followed. Working with internal audit on testing of compliance framework and controls
- Carrying out compliance risk assessments to enable a risk-based approach to the scope of the monitoring programme and the establishment of priorities to ensure that compliance is comprehensively monitored
- Driving improvements in compliance awareness through the evaluation of needs, and delivering a training and development programme, with input from compliance monitoring program, and internal or external audits
- Maintain accurate compliance registers (e.g., conflicts of interest, PEP, connected and related parties)
- Manage compliance calendars and manage and oversee CBI ONR reporting
- Provide support to the BII Head of Governance, Risk, Compliance and Legal as appropriate
- CDD review and AML projects
- Perform the role of MLRO
- Deliver timely reporting to clients and the boards and attendance at board meetings
Key Business Expertise and Candidate Profile:
- Knowledge of Funds
- Knowledge and experience working in third-party management companies
- AIFMD, UCITS, CP86 Fund Management Company Guidance/Pre-Marketing/UCITS KIIDS/PRIPS KIDS/CESR, SFDR, EMIR, AML, Fitness & Probity, IAF, Outsourcing
- Sufficient experience and expertise (incl. escalation of matters requiring judgment)
- Comply with Fitness & Probity Standards
- Comply with IAF Framework
- Appointment subject to CBI Clearance
