We are seeking a Corporate Governance Officer to support our in‑house TMF entities across Jersey and Guernsey. The role focuses on coordinating board and committee governance, maintaining statutory records, and ensuring full regulatory compliance. The role operates Monday–Friday, 9–5 UK time, working closely with a small governance team.
- Prepare agendas and documentation for Board and Committee meetings
- Compile and manage Board Packs via Board software
- Attend meetings and handle all related communication
- Take and draft minutes for scheduled and ad hoc meetings; circulate, file, and finalize documents
- Draft written resolutions and maintain statutory registers
- Assist and action Annual Confirmations and stock transfer forms
- Ensure timely completion of statutory filings, notifications, and regulatory requirements
- Track and follow up on action points from meetings
- Support client‑specific governance procedures and internal controls
- Maintain accurate system data for all entities
- Assist with managing internal stakeholder relationships
- Contribute to team tasks and ad hoc projects as needed
- 2–3 years’ experience in Corporate Governance or administration within Funds/Company environments
- Knowledge of Jersey and Guernsey regulatory requirements
- Strong written English with the ability to draft formal governance documents
- High attention to detail
- Ability to multitask, prioritize, and remain resilient under pressure
- Team-oriented, proactive, and able to work with internal stakeholders
- Availability to work full-time during UK hours (9–5)
