Discover the Role

Provide professional services on corporate secretarial matters for a portfolio of local and international clients, including incorporating and managing corporate structures. This role will also manage a team or teams (bigger teams for Senior Managers), work with the Head of Department to streamline processes, increase revenue & productivity and enhance morale. 


Key Responsibilities
  • Manages and oversee a portfolio of client companies by providing all types of entities (including KK, GK, GKTK, ISH, TMK), business, management and administration services; Provide incorporation, company secretarial services and compliance filing services for the SPC structure clients and other corporate clients;
  • Ensures compliance with the Companies ActCommercial Code, Act on the Securitization of Assets, Act on Investment Trust and Investment Corporations, Financial Instruments and Exchange ACT,  and other corporate and SPC regulatory and statutory requirements;
  • Coordinates with external intermediaries like fund lawyer, tax advisor or auditor, to help SPC clients in formation, special license application and annual maintenance service. 
  • Review corporate secretarial documents for different types of entities including but not limited to annual general shareholder meeting minutes, board meeting minutes, written resolutions, Articles of Association/Incorporation, Register of Members, Register of Directors, ROM Administrator, application documents for various changes of director/shareholder/auditor/company name, etc.
  • Gives advice to client companies in maintaining good corporate governance practices;
  • Coordinate with fund sales to provide pre-sale support for SPC services;
  • Monitors, plans and follows up on the status of billing, cash flow and debt recovery;
  • Handles complicated and problematic cases;
  • Guided by the GEM HOD, manages and leads a team of professional staff and provides training to staff;
  • Support the GEM HOD to manage the productivity and utilization of the staff in the team;
  • Works with HR on recruitment activities, performance review and employee relations matters;
  • Attends conferences and seminars for networking and development purposes;
  • Performs other duties as assigned.

Key Requirements

  • Minimum 8 years’ relevant experience gained from Shiho-Shoshi firms  andlaw firms;
  • Prior experience and practice in handling SPC structure under asset securitization schemes (including GK-TK structure, TMK structure, etc) and have knowledge of related financial instrument business is an advantage;
  • Excellent command of both spoken and written English and Japanese is preferred; Be able to conduct professional business communication with foreign clients via email, phone call or face to face meeting. 
  • Expert in local country company regulations with extensive experiences on providing professional services for both Japanese and global clients.
  • Mature, self-motivated with excellent interpersonal and outstanding presentation skills;
  • Service-driven, able to communicate with clients at all levels;
  • Detail-oriented and well-organized, skilled in planning and management reporting;
  • Demonstrated analytical and problem-solving skills;
