Key Responsibilities
  • Drafting of corporate documents (Minutes, Resolutions, PoAs, etc.) for TMF Clients in relation to different legal matters (incorporation, liquidation, bank account opening, address change, etc.);
  • Drafting of corporate documents (Minutes, Resolutions, PoAs, etc.) for internal TMF needs;
  • Drafting / reviewing / commenting the contracts with counterparties;
  • Organization and control of signing agreements/addendums with clients and vendors;
  • Collection and submission of the documents to the state bodies and funds of RoK;
  • Maintenance of registers of the agreements and PoAs;
  • Permanent track of fulfillment of obligations/ meeting terms of agreements with suppliers / clients (among other timely prolongation, re-execution);
  • Control and systematic audit of documents storage system (organization of folders keeping) in hard and soft copies;
  • Permanent track of changes of the legislation of the Republic of Kazakhstan;
  • Organization of translation and notarization of documents;
  • Interaction with the Clients in respect of "Know Your Client" procedures, collection of necessary related information and interaction with TMF Global Compliance;
  • Adherence to delivery assurance policies, processes and procedures in corporate secretarial and internal legal matters;
  • Provision of replies to internal/client legal queries in a timely manner;
  • Communication with ministries and other state bodies, notaries, legal consultants on the collection of information necessary to provide services or fulfill internal legal tasks;
  • Timely notification of the line manager on abnormal situations or cases that require urgent action as well that may cause legal risks to TMF or its clients.

Key Requirements
  • Higher legal education;
  • Relevant work experience of at least 1 year;
  • English language skills - Intermediate level, knowledge of Kazakh language will be a plus.
  • Basic knowledge of civil legislation of RoK and related regulatory framework, knowledge of labor and administrative laws will be a plus;
  • High level of computer literacy, knowledge and experience with text editors and special legal software;
  • Communication skills, teamwork;
  • Result-oriented, proactive approach, attention to details;
  • Ability to work productively in a short time with minimal external control, high resistance to work in multitask environment;
  • Energetic, flexible, and proactive approach with focus on continuous improvement of professional and personal skills.
