Discover the Role

The Corporate Secretarial professional is responsible for supporting corporate governance and statutory compliance across a portfolio of legal entities. This role ensures entities remain in good standing by maintaining accurate corporate records, coordinating board and shareholder matters, and managing statutory filings with relevant authorities.


Key Responsibilities
  • Maintain statutory records, minute books, and corporate registers
  • Prepare and coordinate board and shareholder resolutions and meeting minutes
  • Manage annual and ongoing compliance filings with Secretaries of State and other regulators
  • Support entity lifecycle events (formations, amendments, director/officer changes, dissolutions)
  • Liaise with internal teams, clients, registered agents, and external counsel as needed
  • Ensure governance documentation aligns with local legal and regulatory requirements
  • Track compliance deadlines and flag risks or inconsistencies in corporate records

Key Requirements
  • Experience in corporate secretarial or entity management roles
  • Strong knowledge of corporate governance and statutory compliance
  • High attention to detail and strong documentation skills
  • Ability to manage multiple entities and deadlines in parallel
  • Professional communication with internal and external stakeholders
