Discover the Role

This position is crucial for overseeing corporate secretarial functions and ensuring compliance with regulatory requirements. You will be responsible for coordinating and allocating work to a team of Company Secretarial Specialists, Company Secretarial Assistants and Trainees. Required to be client facing and will manage a portfolio of Company Secretarial clients as well as owning those client relationships. Attending client meetings, establishing and maintaining a good working relationship with clients and other external parties is critical to the success of this role. 


Key Responsibilities
  • Managing and supporting annual compliance requirements
  • Will delegate tasks as appropriate to Company Secretarial Specialists, Assistants and Trainees to support with task completion, whilst having oversight and taking overall responsibility
  • Responsible and accountable for ensuring that all reporting deadlines are met
  • Builds and maintains strong relationships with clients and internal/external stakeholders.  Follow ‘Our Service Promise’ delivery guidelines for relationship management
  • Performs daily work with high complexity as required
  • Responsible for coordination of board support within the portfolio, attending client board meetings and taking minutes as necessary
  • Allocate and coordinate the workload of juniors, assigning or re-assigning tasks to them and monitor day to day progress of delivery using available means to ensure work is delivered on time
  • Review the work of junior team members ensuring accuracy and providing timely feedback where needed (following a 4-eye principle)
  • Provide guidance and support to junior team members (including on the job training) with complex company secretarial related queries and acting as a first point of escalation. Oversee their communication with third parties, stepping in as required
  • Maintain a focus on continuous improvement in the team, challenging the status quo. Lead and participate in company secretarial department projects
  • Provide technical support and guidance throughout the onboarding process
  • Provide support to the Internal Accounting team for billing, debt collection and WIP as required
  • Escalates any concerns to Line Manager in a timely manner
  • Uses TMF’s company secretarial software effectively, e.g. Diligent Entities & Viewpoint (GEM)
  • Ensure clients are billed in accordance with the engagement including any out-of-scope work
  • Review productivity on client portfolios and act accordingly
  • To undertake any other duties as reasonably required for the role

Key Requirements
  • A detailed knowledge of UK company secretarial transactions and annual statutory compliance
  • Sound knowledge of UK Companies Act 2006 and working knowledge of UK corporate law
  • Knowledge of The Economic Crime and Corporate Transparency Act (“ECCT”) (UK) that received royal assent on 26 October 2023 that are being implemented in stages; knowledge of the Corporate Transparency and Companies House reforms.
  • Experience working with Funds clients specifically knowledge working with a portfolio of both PE (Private Equity) & REIT (Real Estate Investment Trust) clients
  • Knowledge of the accounting and statutory reporting requirements of UK Entities i.e. Limited Companies, LLPs & LPs
  • Confident in attending complex client board meetings, preparation of agendas and writing minutes i.e. Board support
  • Excellent skills in drafting of Board minutes
  • Excellent written and communication skills, with strong ability to plan and organise themselves and others.
  • Able to articulate and communicate with clients in a concise and professional manner
  • Fluency in English is required
