As a Legal Officer, you will be the first point of contact for our clients in the Netherlands for the full range of legal and compliance matters. Together with the Accounting Officer, who is responsible for financial, accounting and tax matters, you will be responsible for managing the client relationship under the supervision of the Supervisor Legal. You will be dedicated to creating a long-term relationship with our clients and business partners and help our clients navigate the complex environment they do business in, taking the interests of all relevant stakeholders at heart. - Build up a strong working relationship with local and international clients, notaries, external advisors, banks, regulatory bodies and other relevant parties.
- Adequately keep up with (client) activities and refer them to trusted third parties, to tighten the relationship with such parties, also enabling increased business opportunities for TMF Group as a whole. Pro-actively engage with Client Executive Directors, Business Development Directors and other local and international commercial colleagues where beneficial.
- Provide the client with comprehensive corporate secretarial support and transactional assistance within the scope of the engagement. Taking a personalized and practical approach, and ensuring the client meets its timelines in all legal and regulatory matters.
- Assist in setting up and managing legal structures for the client and as such assist with incorporations and share transfers of client companies in close co-operation with the client, notary, law firms and tax firms.
- Assist in the effectuation of changes in relation to the client’s client entity, such as appointing or dismissing managing/supervisory directors, change of domicile of the company etc.
- Attend to the share holders' register after incorporation and ensure it is complete, up to date and on file at any given time.
- Take care of the requirements of the Chamber of Commerce and other relevant registers (registration, amendment and filing, etc.).
- Organize the correspondence file, have the company file prepared, and supervise the input of documents in the company file. Perform regular checks to ensure the company file is correct and complete. Initiate event driven reviews if and when appropriate.
- Draft standard legal documents e.g. management agreements, loan agreements, minutes, resolutions and proxies.
- Review and assess relevant legal documentation and advice from third parties.
- Signal any legal or tax issue of a(n) (intended) client transaction and liaise - after consultation with a Supervisor Legal - with the client and/or advisors.
- Draft liquidations agreements and perform the formalities concerning liquidation of companies.
- Attend and independently carry out meetings with clients and business partners.
- Update and maintain the client portfolio in good standing and comply with the rules and regulations of the Dutch Central Bank and/or related legislation.
- Ensure that all legal procedures remain in line with applicable law and overall objectives and execute any activities necessary, to ensure TMF Group c.a. and its clients comply with which is from a sound compliance point of view required or otherwise desired.
- Keep client data and the client database up to date in a timely and accurate manner.
- Keep records per account of own worked hours on a daily to weekly basis and in line with the specific fee arrangements with the client.
- Together with the Accounting Officer monitor the fixed fee agreements and manage the potential fixed fee gap. Pro-actively entering into discussions with the client after consultation with a Supervisor Accounting.
- Keep track of and resolve outstanding compliance issues in a timely manner.
- Act as a gatekeeper to ensure TMF Group meets its obligations as a gatekeeper of the financial system as required by local and international laws and regulations.
- Perform any other tasks and duties as requested or assigned by the Supervisor Legal and/or Market Practice Manager.
- University degree in (Dutch) law (civil, notarial or fiscal).
- Knowledge of corporate law and regulations.
- A general interest to develop in any field required to further develop within the role and/or within TMF Group.
- 3 - 5 years relevant working experience, preferably of multinational companies in a similar role.
- Excellent English written and verbal communication skills.
