Provides professional services on corporate secretarial matters for a portfolio of entities which are regulated TMF owned entities, including incorporating and managing corporate structures. This role may require assisting the Head of Risk and Governance or Director to streamline processes, increase productivity and enhance team morale.
- Manage a portfolio of clients (being in house entities) by providing full set of corporate secretarial services
- Ensure compliance with the relevant law and regulation in the Channel Islands; Maintain good relationship with Board members and other stakeholders
- Build opportunities for additional services providing to the Board and its appointed committees
- Assist in maintaining smooth operation of the team
- Assist to monitor & manage the productivity and effectiveness of the processes allocated to them as the business partner for designated regulated entities
- Ensure filing deadlines are met
- Prepares resolutions and correspondences
- Provide advice to Board members on ad hoc matters
- Respond to Group, internal client facing team, audit queries
- Perform other duties as assigned
- Professional member of the Governance Institute (previously ICSA)
- Minimum 4 years’ relevant experience gained from regulated financial services firm
- Prior experience in governance or client servicing environment supporting regulated entity governance is an advantage
- Good knowledge of corporate secretarial practices and familiarity with relevant regulation in the CI
- Intermediate knowledge of Viewpoint is an advantage
- Excellent command of both spoken and written English. Attention to detail and ability to keep Board matters confidential
