Discover the Role

This role focuses on supporting clients throughout the entire lifecycle of their corporate administration, with a particular emphasis on capital‑markets‑related structures and entities (e.g. securitisation vehicles, SPVs, debt issuance platforms, listed or listing‑ready entities, and investment fund‑related structures).
 
You will be responsible for the setup and ongoing administration of client entities, preparation of legal and corporate documentation, coordination of corporate and transactional changes, management of banking arrangements, and ensuring full compliance with applicable regulatory, AML, and governance requirements. The role requires a sound understanding of capital markets transactions and operating models, as well as the ability to work closely with arrangers, legal counsel, regulators, and other transaction counterparties.
 
You will maintain continuous communication with clients, intermediaries, and external advisers, document meetings, keep internal systems updated, and ensure accurate time‑writing. Building trusted client relationships and ensuring consistent, high‑quality service delivery across complex capital markets structures are key aspects of this position.


Key Responsibilities
  • Inform the screening committee of prospective and potential clients, including capital markets‑driven structures;
  • Coordinate the incorporation and setup of client entities, including SPVs and vehicles used for capital markets and structured finance transactions;
  • Prepare and manage service agreements;
  • Arrange the nomination and resignation of directors and managers, changes of domicile, and other corporate actions, including those required in the context of transactions, issuances, or restructurings;
  • Manage transfers in and completion of legal files, including complex portfolios of capital markets entities;
  • Coordinate the opening of bank accounts and the arrangement of banking authorities and signatory powers, including transaction‑specific accounts and issuer accounts;
  • Perform ad‑hoc legal and corporate tasks, including the drafting and review of relatively simple legal documents (e.g. loan agreements, intercompany arrangements, share transfers, powers of attorney, and corporate resolutions);
  • Liaise with, instruct, and coordinate external legal counsel, transaction parties, notaries, and other advisers involved in capital markets transactions; monitor progress and follow up on deliverables;
  • Act as a point of contact for clients, arrangers, trustees, listing agents, and other intermediaries involved in the lifecycle of capital markets structures;
  • Attend client meetings and calls (including transaction‑related calls), prepare and maintain accurate minutes of meetings
  • Correspond with third parties independently or in coordination with the Team Leader, Supervisor, Senior Legal Officer, or Management;
  • Maintain and update client records and profiles in TMF databases and other internal systems;
  • Ensure all client entities and TMF Group activities comply with applicable Compliance, AML, and regulatory requirements, including those specific to capital markets;
  • Develop and maintain strong relationships with clients, intermediaries, and market participants, contributing to client retention and business development initiatives;
  • Complete daily time‑writing accurately to ensure proper chargeability and invoicing of services provided to clients;
  • A proactive team player who is also capable of working independently in a fast‑paced, transaction‑driven environment.

Key Requirements
  • LL.M. or Master’s degree in Corporate, Business, Contractual Law;
  • 2–3 years of relevant professional experience, preferably in a trust company, law firm, or capital markets / structured finance environment;
  • Exposure to capital markets structures (e.g. SPVs, securitisation, debt issuance, investment fund‑related entities) considered a strong asset;
  • Fluent written and spoken English is mandatory; German, French and/or other languages are a strong advantage;
  • Strong interpersonal, communication, and stakeholder‑management skills, including comfort interacting with transaction parties and advisers;
  • Well‑developed organisational and time‑management skills, with the ability to manage multiple entities and deadlines;
  • A proactive team member.
