- Incorporation and setting up of new client companies
- Performance of the compliance onboarding of new client entities, and ongoing compliance reviews of existing client companies in line with the due diligence requirements of TMF/ensuring a good legal standing of the client companies
- Preparation of TMF service agreements
- Preparation of minutes of the meeting of the board of managers/minutes of the meeting of the shareholders of client entities
- Preparation of transaction documents, incl. loan agreements, amendments to the articles of association of client entities, documentation in connection with distributions to the shareholders of client entities, POAs, etc.
- Preparation of documentation to approve the annual accounts of client companies
- Assistance with the audit of the annual accounts/provision of legal documents to auditors
- Preparation of documentation to replace managers/directors of client entities.
- Opening of new bank accounts, and handling the periodic compliance requests of banks
- Corresponding with the representatives of client companies and business partners/legal and tax advisors, independently or in consultation with the Senior Legal Officer, Supervisor or Team Leader Legal.
- Updating the corporate files of client companies in Viewpoint
- Complete on a daily basis his/her time-writing in Viewpoint to ensure appropriate chargeability and proper invoicing of the work performed on behalf of clients
- Lawyer’s qualification in Corporate Law or company secretarial certification (or relevant/equivalent experience as e.g. paralegal)
- 2-4 years of relevant working experience (Corporate service provider, fiduciary)
- Fluent communication, both written and spoken in English is mandatory, French is benefit
- Strong corporate secretarial/drafting skills
- Strong interpersonal and communication skills
- Sound organizational skills
- Sound knowledge of Microsoft Word and Outlook
- A team player who can work independently as well
